Sample contract template

This overview will help inform your sales efforts and offer best practices when drafting a contract for a client. Sample contract template

This VENDING AGREEMENT (Agreement) is entered into as of the Effective Date stated in the parties’ signature block, below, between the undersigned client (CLIENT NAME), and COMPANY NAME. 

  1. YOUR COMPANY Responsibilities: YOUR COMPANY will install, maintain, and service the equipment in a timely and sanitary manner in accordance with industry standards and all federal, state, and local laws, and to the satisfaction of signed company 

  2. Client Responsibilities: The Client will furnish YOUR COMPANY with the necessary space and utilities to permit the sanitary operation of the Equipment and its related services. Client will maintain and service the areas around the equipment in a clean, sanitary manner in accordance with all federal, state, and local laws. Client will provide YOUR COMPANY employees the necessary access to properly service and maintain the equipment.

  3. Insurance: YOUR COMPANY shall obtain and maintain insurance for the following risks in such policies as stated in this Section 3: General Liability, Business Automobile Coverage, and Workers Compensation. 

  4. Default and Termination: This Agreement shall be effective until terminated by either party.  This Agreement may be terminated by mutual written agreement at any time during the term of the Agreement or it may be terminated by either party by giving thirty (30) days’ written notice to the other party. Upon termination of this Agreement, Client shall pay the Company for the monthly subscription fee for services prior to the effective date of termination. Thereafter, the parties shall owe no further obligations to each other except as provided in this Agreement. 

  5. Financial Arrangements: 
      1. $XXX subscription per month starting month 1
      2. $XXX one time setup fee
